These Terms of Service (“Terms”) govern your use of Vexael.
Vexael is operated by Shahuwais Hossenbaccus, trading as Vexael, in Mauritius.
By creating an account or using Vexael, you agree to these Terms.
If you do not agree, do not use the service.
Eligibility
You must be at least 18 years old to use Vexael.
You must provide accurate account information and use the service only in accordance with applicable law.
What Vexael provides
Vexael is a personal operating system that provides tools for organising and working with information such as tasks, habits, goals, projects, notes, planning, progress, uploaded materials, financial entries and AI-assisted workflows.
Features may change over time as the service develops.
We do not guarantee that every feature will remain available indefinitely or remain in exactly the same form.
Your account
You are responsible for activity under your account and for maintaining the confidentiality and security of your credentials.
You must notify us promptly at support@vexael.app if you believe your account has been compromised.
You may not share, sell or misuse access to your account in a way that violates these Terms or undermines service security.
Your content
You retain ownership of content you submit to Vexael.
You give Vexael a limited, non-exclusive licence to host, store, reproduce, transmit, process and otherwise use your content only as reasonably necessary to provide, secure, maintain and improve the operation of the service.
This licence does not transfer ownership of your content to Vexael.
You are responsible for ensuring you have the rights necessary to submit content to Vexael.
You must not upload material in a manner that infringes copyright, privacy or other rights.
Vexael AI
Vexael includes AI-assisted functionality.
AI-generated responses and proposals may be incomplete, incorrect or inappropriate for your circumstances.
Vexael AI is not a substitute for professional medical, legal, financial, accounting or other regulated professional advice.
You are responsible for reviewing AI output before relying on it.
Where Vexael proposes changes to your system, proposals are not necessarily applied automatically. You remain responsible for deciding whether to confirm or apply proposed actions.
You should not use AI output as the sole basis for decisions that could materially affect your health, legal rights, finances, safety or other high-impact matters.
Plans and subscriptions
Vexael currently offers:
- Free — $0
- Standard — $5 per month
- Pro — $9.99 per month
Paid plans currently include a 7-day free trial.
Subscriptions are monthly only unless Vexael explicitly offers another billing period in the future.
Current plan features, quotas and limits are shown in the application and may be updated prospectively.
We will not retroactively charge you a new price without appropriate notice or consent where required.
Payments
Payments and paid subscriptions are processed through Lemon Squeezy, which acts as merchant of record.
By purchasing a paid subscription, you may also be subject to Lemon Squeezy’s applicable checkout, payment and customer terms.
Vexael does not directly process or store your raw payment-card information.
Trials
A paid-plan trial lasts 7 days unless a different duration is clearly shown when you subscribe.
Unless cancelled before the trial ends, a trial may convert to the selected paid subscription according to the terms shown at checkout.
You are responsible for cancelling before the applicable billing event if you do not wish to continue.
Cancellation
You may cancel a paid subscription through the Lemon Squeezy customer portal.
Cancellation stops future renewal according to the subscription terms displayed through the billing system.
Unless required otherwise by law or expressly stated, cancellation does not itself create a refund entitlement for charges already incurred.
Refunds
For a user’s first paid Vexael charge, you may request a refund within 7 days of the charge by emailing support@vexael.app.
Approved refunds will be processed through Lemon Squeezy.
Refund requests may be refused in cases involving fraud, abuse, misuse or other circumstances where a refund would be inappropriate, subject always to rights that cannot lawfully be excluded.
Routine subscription renewals are generally non-refundable once the new billing period begins, although we may review exceptional circumstances individually.
Nothing in this policy limits mandatory consumer rights available to you under applicable law.
Because Lemon Squeezy acts as merchant of record, Lemon Squeezy may also take action relating to refunds, disputes and chargebacks under its own policies. Lemon Squeezy states that sellers may establish refund policies but that it retains discretion to issue certain refunds, including in connection with chargeback prevention.
Acceptable use
You must not use Vexael to:
- violate law or third-party rights;
- interfere with or disrupt the service;
- gain unauthorised access to systems, accounts or data;
- distribute malicious code;
- exploit vulnerabilities;
- perform abusive automated scraping or harvesting;
- bypass usage, subscription or security limits;
- commit fraud;
- impersonate others;
- reverse engineer Vexael except where applicable law expressly permits it;
- use Vexael to develop or operate harmful or unlawful services;
- or otherwise misuse the service.
Reasonable use of your own data and normal interoperability permitted by law is not intended to be prohibited.
Usage limits
Some Vexael plans include limits relating to AI requests, uploaded or indexed content, storage or other resources.
Limits may be enforced automatically.
Attempting to evade or circumvent plan limits may result in restriction or suspension.
Uploaded documents and intellectual property
You must have sufficient rights or lawful authority to upload and process books, documents and other content through Vexael.
You remain responsible for that content.
Vexael may remove or restrict access to content where reasonably necessary to comply with law, protect rights or maintain the service.
Vexael intellectual property
Except for your content and third-party materials, Vexael and its software, branding, interfaces, designs and other proprietary materials are owned by or licensed to Vexael and are protected by applicable intellectual-property laws.
These Terms do not grant you ownership of Vexael’s software or brand.
Suspension and termination
We may restrict, suspend or terminate access where reasonably necessary because of abuse, fraud, security threats, non-payment, serious or repeated violations of these Terms, legal requirements or risks to Vexael or other users.
Where appropriate and practicable, we may provide notice or an opportunity to resolve the issue.
You may stop using Vexael at any time.
You may also delete your account using the available account-deletion process.
Account deletion
Account deletion is intended to permanently remove your account and associated Vexael application data.
Where a chargeable Lemon Squeezy subscription exists, Vexael may first verify or cancel that subscription. If cancellation cannot be completed safely, account deletion may be stopped until the billing issue is resolved.
Certain billing records or temporary infrastructure backups may remain after deletion where required for legal, accounting, security or technical reasons.
Third-party services
Vexael depends on third-party services including Supabase, Anthropic, OpenAI and Lemon Squeezy.
Those services may be governed by their own terms and policies.
We are not responsible for third-party services outside our reasonable control, although we remain responsible for our own obligations under applicable law.
Availability and changes
We aim to keep Vexael available and reliable, but we do not guarantee uninterrupted or error-free operation.
Vexael may occasionally be unavailable because of maintenance, failures, security events, third-party outages or circumstances beyond our reasonable control.
We may add, remove or modify functionality.
Where changes materially affect a paid service, we will take reasonable steps to communicate them where appropriate.
Disclaimer
To the maximum extent permitted by applicable law, Vexael is provided on an “as is” and “as available” basis.
We do not warrant that Vexael will always be uninterrupted, error-free or suitable for every particular purpose.
AI-generated information may be inaccurate.
Nothing in these Terms excludes warranties, consumer rights or obligations that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by applicable law, Vexael and its operator will not be liable for indirect, incidental, special, consequential or punitive losses arising from your use of the service.
Where liability can lawfully be limited, Vexael’s aggregate liability arising out of or relating to the service will not exceed the amount you paid to Vexael for the service during the 12 months immediately preceding the event giving rise to the claim.
These limitations do not apply where liability cannot legally be excluded or limited, including any mandatory consumer protections or other liabilities that applicable law requires to remain unlimited.
Governing law
These Terms are governed by the laws of Mauritius, without prejudice to any mandatory consumer rights that may apply to you under another applicable law.
Subject to rights that cannot legally be excluded, disputes relating to these Terms or Vexael will be subject to the jurisdiction of the courts of Mauritius.
Changes to these Terms
We may update these Terms as Vexael develops.
If a material change affects existing users, we will take reasonable steps to provide notice where appropriate.
Continuing to use Vexael after updated Terms take effect constitutes acceptance to the extent permitted by applicable law.
